These Terms of Service (the "Terms") govern your access to and use of the Frame Logic Studio platform (the "Service"), operated by Frame Logic Studio LLC ("Frame Logic Studio," "we," "us"). By creating an account, accepting an invitation, or using the Service, you agree to these Terms. If you are accepting on behalf of a studio or business, you represent that you are authorized to bind it.
Capitalized terms have the meanings given where they appear. We may update these Terms from time to time; material changes will be reflected in a new version, and continued use after an update means you accept the revised Terms.
Your account
You must be at least 18 years old and able to form a binding contract to create an account or use the Service. You must provide accurate information and keep your credentials secure. You are responsible for activity under your account and for the conduct of anyone you give access to. Accounts are created by invitation; you may not share, sell, or transfer your account without our consent.
Your content and rights
You retain ownership of the photographs, text, and other content you upload ("Your Content"). You grant Frame Logic Studio LLC a non-exclusive, worldwide license to host, store, reproduce, and display Your Content solely to operate and provide the Service to you and your visitors. This license ends when you delete the content or close your account, except for backups retained for a reasonable period and content others have lawfully saved.
You are solely responsible for Your Content and for obtaining any consents, model or property releases, and licenses required to publish it.
Featuring your work (Showcase)
We would love to feature creators' work to promote the platform, but only with permission. We do not use Your Content in our own marketing unless you opt in. If, and only if, you enable the Showcase setting and mark specific curated collections (portfolios) as eligible, you grant Frame Logic Studio LLC a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute the images in those collections to promote and advertise the platform — for example on our landing page, directory, social channels, and other marketing — with attribution to you.
You may withdraw this permission at any time by turning off the Showcase setting or un-marking a collection; we will stop featuring that content going forward within a reasonable period, though copies already distributed by third parties may persist. By marking a collection as eligible, you confirm that you hold all rights and releases — including any model or property releases — necessary for that promotional use. This permission is limited to the collections you designate and grants no rights to any other content.
Content you may not publish
You are responsible for everything you upload, display, or distribute through the platform. The following are prohibited and may result in immediate suspension or removal without notice:
- Pornographic, sexually explicit, or obscene material, and any sexual content involving minors of any kind (which we report to the appropriate authorities).
- Content you do not own or have a license to use — respect copyright, trademarks, and other intellectual-property rights at all times.
- Material that is unlawful, defamatory, harassing, hateful, or that incites violence.
- Photographs of identifiable people published without the consent or releases required by the law where you and your subjects are located.
- Malware, deceptive links, or content designed to phish, defraud, or compromise other users.
Photographs of minors
Much of the work published on this platform involves families and children, and we hold it to a higher standard. If you publish a photograph in which a minor (anyone under 18) is identifiable, you represent that you have obtained written consent from the minor's parent or legal guardian covering that publication — and, where the image is offered for sale or used commercially, covering that use as well. You agree to keep those consents and to provide copies to us on request.
We may remove any image of a minor at the request of that minor's parent or legal guardian, and we may remove images of minors at our discretion while a consent question is resolved. Sexual or exploitative content involving minors is reported to the authorities immediately — see above.
Copyright and intellectual property
You represent that you hold all rights necessary to publish the content you post, and that doing so does not infringe anyone else's rights. You retain ownership of your own work; you grant us only the limited license needed to store, process, and display it to operate your site.
We respond to valid notices of claimed copyright infringement under the Digital Millennium Copyright Act and will remove or disable access to infringing material. Our takedown and counter-notice process, and how to reach our designated Copyright Agent, are described in our Copyright & DMCA Policy at /legal/dmca. Repeat infringers will have their accounts terminated.
Acceptable platform behavior
When using the platform you agree not to:
- Attempt to breach, probe, or circumvent platform security, isolation between tenants, or access controls.
- Use the service to send spam or unsolicited bulk communications.
- Resell, sublicense, or misrepresent the platform as your own product.
- Place automated load on the service beyond normal use of your own site, or otherwise degrade the service for others.
Enforcement
We may review content for compliance and may remove material or suspend accounts that violate this policy. Where practical we will give notice and an opportunity to cure, but we may act immediately for serious violations, legal obligations, or threats to the platform or its users.
Fees and tiers
Some features are governed by subscription tiers and may carry fees or per-sale charges as described in your plan. Fees are billed in advance and are non-refundable except where required by law. PAID SUBSCRIPTIONS RENEW AUTOMATICALLY at the end of each billing period, and your payment method is charged the then-current fee, until you cancel — which you can do at any time from your billing settings, effective at the end of the current period. We will give you at least thirty (30) days' notice before a price increase takes effect; the new price applies from your next renewal after the notice period.
Selling through the platform carries a platform fee on your sales as described in your plan. On paid plans the fee currently applies only up to a monthly sales cap — sales above the cap are free of platform fees; on the free plan the fee applies to all sales. In addition, the payment processor's actual costs — card processing, sales-tax calculation, payout, and payment-account fees — are passed through to you at cost, with no markup, and are itemized on a monthly statement you can audit line by line against your payout.
Plans that include archival backup storage (the RAW Vault) include the storage amount described in your plan; storage beyond it may be metered as described there. Restoring (downloading) your own vaulted files is free within normal use — the vault is a backup for your original files, and we ask that it not be used as general-purpose file distribution or repeatedly cycled to work around plan limits; we may throttle patterns clearly outside normal backup use, and we will contact you before restricting anything.
Payments, payouts, and sales tax
Card payments are processed by Stripe. Frame Logic Studio LLC acts as the marketplace facilitator and merchant of record for card sales made through the platform: we calculate, collect, and remit applicable sales tax on those sales under our registrations, and the buyer's card statement shows both our name and yours. Sales tax collected from buyers is never part of your proceeds.
Your proceeds are transferred to your connected Stripe account and paid out monthly. A payout account with no sales activity for an extended period may have payouts paused to avoid costs on your behalf; nothing is deleted, and you can resume payouts with one click from your Payments panel.
Refunds of card sales are handled through the platform. On a refunded sale the buyer receives a full refund, we return our platform fee, and only the payment processor's non-refundable costs remain, passed through at cost. Sales you collect outside the platform (cash, check, or other direct methods) are your own transactions — including any tax obligations on them.
Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, for legal reasons, or to protect the platform and its users.
Your photographs are your livelihood, so unlike most platforms we commit to an export window: for thirty (30) days after your account closes — whoever closed it — you may export Your Content, and we will not delete it during that window. The only exceptions are content we are legally required to remove or that violated the Acceptable Use Policy. After the window ends, we delete Your Content in the ordinary course. You can close your studio yourself at any time from your settings; closing takes your site offline immediately, and during the export window you may restore it or download everything — photographs, client records, and order history — from the export page. Records of completed transactions are retained after deletion as required by law.
Disclaimers and liability
The Service is provided "as is" without warranties of any kind to the fullest extent permitted by law. We are not liable for indirect, incidental, or consequential damages — including lost profits or lost data — and our total aggregate liability for all claims is limited to the amount you paid us in the three (3) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless Frame Logic Studio LLC, its owners, employees, and service providers from and against any third-party claims, damages, liabilities, and reasonable costs (including attorneys' fees) arising out of or related to: Your Content (including claims of infringement or of missing consents or releases); the products, services, and licenses you sell through your site; your violation of these Terms or of any law; or your violation of anyone else's rights. We may assume the defense of any matter subject to indemnification, in which case you agree to cooperate.
Governing law and dispute resolution
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules.
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR RIGHTS. Except for the carve-outs below, any dispute arising out of or relating to these Terms or the Service will be resolved by BINDING INDIVIDUAL ARBITRATION administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in North Carolina (with the option to appear remotely). BY AGREEING TO THESE TERMS, YOU AND FRAME LOGIC STUDIO LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may award the same individual relief a court could.
Carve-outs: either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property or for unauthorized access to the Service. For anything not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in North Carolina.
